THE PLAYERS’ FORUM PODCAST
RECURRING GUEST HOST / CO-HOST AGREEMENT
This Recurring Guest Host / Co-Host Agreement (“Agreement”) governs the participation of the person submitting this form (“Contributor”) in The Players’ Forum Podcast (the “Podcast”).
The Podcast is a program of Great Gain Athletics Association Inc. (“GGAA Inc.”), a California nonprofit 501(c)(3). The Podcast is produced by Tricia Martin through Soultry Media (“Digital Media Producer”).
1. Role and Participation
Contributor will participate in the role selected on this form as either a recurring guest host or co-host.
Participation may include:
- Preparing for and appearing in Podcast episodes
- Participating in interviews, panel discussions, and related conversations
- Recording introductions, promotional content, social media clips, and behind-the-scenes content
- Participating in reasonable production meetings and episode preparation
- Promoting published episodes when reasonably requested
This Agreement is non-exclusive. It does not guarantee a minimum number of episodes, appearances, recording dates, or published materials.
2. Term and Termination
This Agreement begins when Contributor signs and submits the form and continues until ended by Contributor, GGAA Inc., or Digital Media Producer.
Either party may end the relationship at any time by providing written notice. Ending the relationship does not affect rights previously granted for recordings or materials created before termination.
GGAA Inc. or Digital Media Producer may immediately suspend or end Contributor’s participation because of safety concerns, misconduct, failure to meet production commitments, or conduct that may negatively affect the Podcast, its audience, or GGAA Inc.’s mission.
3. Consent to Record
Contributor consents to the audio and video recording, photographing, livestreaming, and reproduction of Contributor’s voice, appearance, performance, statements, name, likeness, and biographical information in connection with the Podcast.
Contributor understands that recordings may include complete episodes, clips, excerpts, edits, captions, transcripts, photographs, promotional materials, and behind-the-scenes content.
4. Ownership
GGAA Inc. owns The Players’ Forum Podcast brand and show.
Soultry Media / Tricia Martin owns the digital production rights in and to the recordings and resulting content created for the Podcast, including clips, excerpts, edits, captions, transcripts, photographs, promotional content, and behind-the-scenes materials created in connection with the Podcast (collectively, the “Materials”).
“Proprietary Production Materials” means templates and other original creative or production materials created or owned by Digital Media Producer for use in developing, producing, or promoting the Podcast, including all versions, revisions, and updates, whether existing before Contributor’s participation or developed afterward.
As between the parties, Digital Media Producer retains ownership of the Proprietary Production Materials it owns. Providing access to those materials does not transfer ownership to Contributor.
Contributor may use Proprietary Production Materials made available to Contributor only for authorized Podcast work. Contributor may not copy, share, distribute, adapt, license, sell, or use those materials for another show, project, business, or other outside purpose without Digital Media Producer’s prior written permission. Copying or adapting those materials for authorized Podcast work is permitted to the extent authorized by Digital Media Producer.
These ownership and permitted-use provisions survive the end of Contributor’s participation. They do not claim ownership of Contributor’s materials retained under Section 7, third-party materials, or general ideas, knowledge, and skills independently developed without using Proprietary Production Materials.
Contributor’s participation does not give Contributor any ownership, equity, copyright, trademark, partnership interest, or decision-making authority in the Podcast, GGAA Inc., Soultry Media, the Materials, or the Proprietary Production Materials.
5. Rights Granted
Contributor grants GGAA Inc. and Digital Media Producer the unrestricted right to record, use, edit, clip, caption, transcribe, adapt, reproduce, publish, distribute, publicly display, promote, advertise, monetize, and otherwise use the Materials in any media or format.
These rights include use through:
- Podcast and streaming platforms
- Websites and social media
- Short-form videos and clips
- Trailers and teasers
- Advertising and paid promotion
- Event and fundraising materials
- Educational and nonprofit materials
- Archival and future promotional materials
These rights apply throughout the world, in perpetuity, and without additional approval from Contributor.
6. Editing and Final Approval
Contributor understands that GGAA Inc. and Digital Media Producer have full editorial and production control over the Podcast and Materials.
Contributor does not have the right to inspect or approve recordings, edits, titles, captions, thumbnails, promotional materials, publication dates, or final episodes before they are used or published.
GGAA Inc. and Digital Media Producer will not knowingly use editing to create a materially false statement attributed to Contributor.
7. Contributor Materials
Contributor retains ownership of materials created and owned by Contributor before participation in the Podcast.
If Contributor provides photographs, video, music, graphics, written materials, or other content for use in the Podcast, Contributor grants GGAA Inc. and Digital Media Producer permission to use those materials in connection with the Podcast and its promotion.
Contributor confirms that they have the authority to provide those materials and that their use will not knowingly violate another person’s copyright, privacy, confidentiality, or other rights.
8. Compensation and Expenses
Contributor understands that participation is unpaid unless compensation is separately agreed to in writing.
Contributor is responsible for personal expenses related to participation unless GGAA Inc. or Digital Media Producer approves reimbursement in writing before the expense is incurred.
No royalties, residuals, ownership payments, or other compensation will be owed for the use or continued use of the Materials unless separately agreed to in writing.
9. Credit
Contributor may be identified as a recurring guest host, co-host, guest, panelist, or another appropriate title based on Contributor’s role in a particular episode.
The format, placement, and continued use of any credit will be determined by GGAA Inc. and Digital Media Producer. An accidental failure to provide credit will not be considered a breach of this Agreement.
10. Confidentiality
Contributor agrees not to disclose private production information, unreleased episode details, guest information, internal discussions, passwords, financial information, nonpublic Proprietary Production Materials, or other nonpublic information learned through participation in the Podcast, including information that qualifies as a trade secret under applicable law. Contributor may use such information only for authorized Podcast work and may share it only with persons authorized to receive it for that work, unless the information’s owner gives prior written permission.
This section does not prevent Contributor from discussing information that is already public through no breach of this Agreement or that Contributor is legally required or otherwise legally permitted to disclose, including protected reporting of suspected violations of law. Information becoming public does not, by itself, grant permission to copy or use Proprietary Production Materials outside the permitted use described in Section 4.
These confidentiality obligations survive the end of Contributor’s participation for as long as the information remains nonpublic. Trade secrets remain protected for as long as they qualify as trade secrets under applicable law.
11. Contributor Responsibilities
Contributor agrees to:
- Participate in good faith and communicate respectfully
- Make reasonable efforts to attend confirmed recording sessions
- Notify the production team promptly about scheduling conflicts
- Avoid knowingly making false or misleading statements
- Avoid sharing another person’s confidential or private information without permission
- Follow reasonable production, safety, and venue requirements
- Avoid presenting personal opinions as official statements from GGAA Inc. or Soultry Media unless authorized
12. Use of Name and Likeness
Contributor permits the use of Contributor’s name, professional name, nickname, photograph, likeness, voice, biography, social media handle, and statements in connection with the Podcast and its promotion.
These materials may not be used to suggest that Contributor endorses an unrelated product or service without separate permission.
13. No Employment, Partnership, or Agency
This Agreement does not create an employment relationship, legal partnership, joint venture, agency relationship, or ownership interest.
Contributor does not have authority to sign contracts, accept money, make financial commitments, or enter into agreements on behalf of GGAA Inc., The Players’ Forum, Soultry Media, or Tricia Martin unless separately authorized in writing.
14. No Obligation to Record or Publish
Nothing in this Agreement requires GGAA Inc. or Digital Media Producer to record, publish, distribute, promote, or continue producing any episode or Material.
Episodes and Materials may be edited, delayed, canceled, archived, removed, or left unpublished at the discretion of GGAA Inc. and Digital Media Producer.
15. Release of Claims
To the fullest extent permitted by law, Contributor releases and discharges GGAA Inc., The Players’ Forum, Soultry Media, Tricia Martin, and their respective directors, officers, employees, contractors, representatives, affiliates, successors, and licensees from claims arising from the authorized recording, editing, publication, distribution, promotion, or use of the Podcast and Materials.
This includes claims related to privacy, publicity rights, use of name or likeness, editing, and publication, except for claims arising from conduct that cannot legally be released.
16. Age and Authority
Contributor confirms that they are at least 18 years old and have the legal authority to enter into this Agreement and grant the rights described in it.
A parent or legal guardian must complete the required consent process for any Contributor under 18.
17. General Terms
This Agreement is governed by the laws of the State of California.
This Agreement, together with any written compensation or role addendum, contains the complete agreement concerning Contributor’s participation in the Podcast. Any change must be made in writing and accepted by the appropriate parties.
If any part of this Agreement is found unenforceable, the remaining provisions will continue in effect.
18. Signature and Acceptance
By signing in the signature box and submitting this form, Contributor confirms that they have read, understood, and agreed to this Recurring Guest Host / Co-Host Agreement.
Contributor intends the signature entered in the signature box to serve as a legally binding electronic signature with the same effect as a handwritten signature, to the extent permitted by law.
This Agreement becomes effective on the date the signed form is submitted.
